ANNUAL MEETING PROCEDURES FOR JUNE 9, 2022

FRIENDS OF THE JEFFERSON COUNTY PUBLIC LAW LIBRARY, INC.

ANNUAL MEETING: To be held in March or at another time and place chosen by the directors, at which time existing directors will elect new directors (at least three) for a one-year term.  Each director gets one vote for each vacancy.  New directors will then choose officers.  (We are a non-membership organization, so only directors may vote.)

ELIGIBILITY TO SERVE AS DIRECTOR: Each director must be a member of the Library in good standing and shall not serve more than three consecutive one-year terms.  Only attorneys and law office organizations may be members of the Library.  However, by amendment to Article III, Section 1 of the Bylaws, up to 1/3 of directors of the Friends group may be non-attorneys who are other interested persons supporting the Library’s mission.  (NOTE: Non-directors may serve on committees.)

ELIGIBILITY TO VOTE: Existing directors choose the new directors (at least three) by a plurality by voting at the annual meeting with a quorum of directors (simple majority) present.  In other words, at least five current directors must be present.  Any existing director may nominate additional candidates at the annual meeting.  Newly elected directors then choose new officers (President, Vice President, Secretary, and Treasurer).

NOTICE: Formal advance written notice must be given to existing directors with a list of the names of nominees for the new directors (previously nominated by any Library member).
